Nature of service
ZLab provides Asset Decision Review — a decision-governance service that helps operators and capital allocators assess whether a proposed action on a physical asset has earned the right to move forward. The service is designed to support the decision-making process, not to substitute for it.
Every deliverable produced by ZLab reflects the state of the available evidence at the time of analysis and the application of ZLab's analytical framework to that evidence. A deliverable is a decision-support document. It is not a guarantee, a warranty, a professional certification, or a conclusion on which any party may place absolute reliance.
Not investment advice
Nothing in any ZLab deliverable, report, communication, or service constitutes investment advice, a recommendation to buy or sell any security, or advice about the advisability of any investment in any financial instrument. ZLab is not registered as an investment adviser under the Investment Advisers Act of 1940 or any applicable state law.
ZLab's analysis is anchored to the physical asset layer — the operational, mechanical, and contractual characteristics of the asset itself. It does not constitute advice about the value, acquisition, disposition, or holding of any financial instrument, fund interest, equity stake, REIT share, or other security, even when the physical asset being analyzed is owned through such an instrument.
Not an engineering opinion
ZLab's deliverables do not constitute a sealed engineering report, a Professional Engineer (PE) opinion, or a licensed engineering determination. No ZLab deliverable may be used as the sole or primary basis for permit applications, regulatory filings, building code compliance determinations, life-safety decisions, or any submission to a public authority that requires a licensed engineering opinion.
Where ZLab's analysis references engineering standards (ASHRAE, IPMVP, DOE, EPA, NREL, and others), those references identify the evidence bar a claim must clear — they do not constitute an endorsement by, or a licensed opinion from, the issuing body or from ZLab.
PE-sealed reports for institutional use
When a deliverable must be submitted to a lender, institutional investor, regulatory body, or other authority that requires a licensed Professional Engineer opinion, ZLab can arrange a PE-sealed engineering report as a separate, billable service. The PE review covers the engineering findings in the deliverable and produces a document suitable for institutional submission.
Not legal advice
Nothing in any ZLab deliverable constitutes legal advice, the practice of law, or an opinion on the application of any regulation, statute, code, permit condition, or contractual obligation to any specific situation. Where a deliverable identifies regulatory frameworks that may be relevant to an asset or decision, that identification is analytical context — not a legal determination.
Clients should consult licensed legal counsel for any determination about regulatory applicability, compliance status, permitting requirements, or legal obligations.
Limitation on reliance
Each deliverable is prepared solely for the use of the identified client and solely for the purpose stated in the engagement agreement. No other person or entity may rely on any ZLab deliverable for any purpose. Any third party that obtains, reviews, or acts on a ZLab deliverable does so entirely at its own risk, and ZLab expressly disclaims any responsibility to such third parties.
Clients are advised not to forward, publish, or distribute ZLab deliverables to lenders, investors, counterparties, or other third parties without first obtaining a written reliance letter or separate engagement agreement from ZLab covering such third-party use.
Limitation of liability
To the fullest extent permitted by applicable law, ZLab's total liability arising out of or in connection with any engagement — whether in contract, tort (including negligence), or otherwise — is limited to the total fees paid by the client to ZLab for that specific engagement.
ZLab will not be liable for any indirect, consequential, special, punitive, or incidental damages, including lost profits, loss of revenue, loss of data, or business interruption, however caused and under whatever theory of liability, even if ZLab has been advised of the possibility of such damages.
No warranty
Deliverables are provided "as is" based on the evidence available at the time of analysis. ZLab makes no warranty, express or implied, that findings, conclusions, or assessments will remain accurate, complete, or applicable as conditions change — including changes in asset condition, operational context, market conditions, or regulatory requirements.
The certainty level assigned to any finding (Preliminary, Screening, Site, or Field) reflects the evidence quality at the time of analysis and is not a guarantee of outcome.
Governing law
These legal notices and any dispute arising from ZLab's services are governed by the laws of the State of New York, without regard to conflict of law principles.
